A Contextual Approach to Limits in EU Trade Mark Law

This book discusses limits in EU trade mark law and how the interests of third parties may be incorporated in EU legislation and the decision-making process. Four topical conflicts of interests are discussed in separate articles. The topics include trademark rights in conflict with other property interests or the legitimate interests of enterprises such as freedom to conduct business, to compete or engage in truthful expression or advertising. The research concludes with guidelines for decision-making that allow reconciliation of the interests of third parties with the corresponding different levels of trademark protection. The EU Trade Mark Directive in its current form does not allow general consideration of third party interests and forces the decision-maker into an all-or-nothing decision. The research introduces platforms for consideration of competing interests, where the legitimate interests of both parties may be evaluated and given due weight both in theory and in practice.

I avhandlingen analyseras om den s.k. lojalitetsprincipen – som huvudsakligen handlar om hur parterna ska agera mot varandra – har någon reell inverkan på immaterialrättsliga licensavtal. Principen är numera erkänd inom den allmänna avtalsrätten, medan immaterialrätten ser ut att vara mer tveksamt inställd.
Det är viktigt med licensavtal som skräddarsys utifrån parternas behov och mål och som de därför har reell nytta av. Traditionellt hat man utgått ifrån att ett licensavtal måste gardera parterna mot alla tänkbara risker. I avhandlingen betonas i stället att ett fungerande licensavtal i vissa situationer kan vara kortfattat och rudimentärt. Om två parter som litar på varandra och strävar mot samma mål vill ingå ett långvarigt licensavtal finns det knappast orsak att fokusera på riskfördelning och därmed gardera sig mot ”allt”. Orsak att ingå ett detaljerat, heltäckande (och dyrt) licensavtal – som traditionellt rekommenderas i den Nordiska immaterialrättsliga doktrinen – finns närmast om konkurrerande parter ska ingå ett kortvarigt licensavtal.
I avhandlingen poängteras att avtalstolkningen, för att den ska stämma överens med verkligheten, ska ske utifrån helheten av omständigheterna i det aktuella fallet. I avhandlingen poängteras också att lojalitetsprincipens inverkan när licensavtal tolkas varierar beroende på hur relationellt avtalet är. I avhandlingen dras slutsatser om ett avtals grad av relationalitet genom att analysera olika faktorer, såväl sådana som hittas utanför avtalet som sådana som kan utläsas ur avtalet. Lojalitetsprincipens konkreta inverkan analyseras utifrån situationer där parternas intressen typiskt kolliderar. En slutsats i avhandlingen är att lojalitetsprincipen är betydelsefull för de flesta licensavtal.

Digital rights management (DRM) systems are increasingly being developed and used in order to protect the commercial interests of copyright holders. The principal research question of this doctoral thesis concerns how copyright’s balance can be restored considering copyright owners’ increased power to control the use, possibly backed up by the legal system.
The author looks into the current regulation of DRM and analyses the shortcomings of the current legislative framework in view of the prospective legal dimensions of DRM. This analysis is followed by an assessment of current suggestions for corrective means in the regulation of DRM, which ends in a regulative model proposed by the author.
The method used in the research is that of legal informatics and information law.
The aim of the thesis is to contribute to the understanding of DRM as an object of regulation within the copyright system and to further the discussion of the proper regulation of digital rights management systems as a part of a balanced copyright regime.
